Terms & Conditions

The Terms & Conditions of any and all Cuemath Events ("Event Terms") govern your participation in educational workshops, math nights, and community events organized, sponsored, or facilitated by Cue Learn Private Limited (operating as "Cuemath") in any corner of the Country. By registering for or allowing a minor to participate in an Event, the Guardian agrees and be bounded by the Event Terms on behalf of themselves and the Participant. These Event Terms are supplemental to and shall be read in conjunction with Cuemath's Terms of Use/Conditions and Privacy Policy.

1. Definitions

1.1.
"Event" shall mean any in-person and/or online educational workshop including but not limited to math night, MathFit™ Workshop, Summer Adventure, community event, or similar activity organized, sponsored, co-hosted, or facilitated by Cuemath, whether held at a school, community center, association venue, library, or any other location or online.
1.2.
"Participant" shall mean any child or student who attends or participates in any Event.
1.3.
"Guardian" shall mean the parent, legal guardian, or authorized adult who registers a Participant for an Event and/or accompanies the Participant. The person completing the registration form is deemed the Guardian.
1.4.
"Organizer" shall mean Cue Learn Private Limited (d/b/a Cuemath), its subsidiaries, affiliates, officers, directors, employees, and authorized representatives.
1.5.
"Facilitator" shall mean Any volunteer, contractor, educator, affiliate, or third-party individual engaged by Cuemath to conduct, assist with, or support an Event.
1.6.
"Venue" shall mean the physical location where an Event takes place, which may be owned or operated by a third party (including but not limited to schools, community centers, association halls, libraries, hotels, and public spaces).
1.7.
"Host Organization" shall mean individuals or groups or organization including but not limited to any association, facilitator, NGOs, PTA, school, community group, or other entity that co-hosts or sponsors an Event in partnership with Cuemath.
1.8.
"Event Materials" shall mean any physical or digital materials provided at the Event, including but not limited to educational kits, activity sheets, workbooks, puzzles, goodie bags, and branded merchandise.

2. Eligibility & Parental Consent

2.1.
Events are intended for children enrolled in grades K-12 (approximately ages 4-18). Certain Events may be subject to specific age, grade, skill-level, or participation requirements, as described in the applicable Event materials.
2.2.
Participants under the age of 18 may only attend an Event if registered by a parent or legal guardian ("Guardian"). By completing the registration process, the Guardian acknowledges, represents, and confirms that:
2.2.1.
They are the parent or legal guardian of the Participant, or are otherwise authorized by the parent or legal guardian to complete the registration;
2.2.2.
They have the authority to provide all consents and permissions required for the Participant's attendance and participation;
2.2.3.
All registration information submitted is accurate, current, and complete;
2.2.4.
They have independently determined that the Participant is suitable to attend and participate in the Event; and
2.2.5.
They consent to the Participant's participation in all Event activities, subject to these Terms.
2.3.
For Participants under the age of 8, a Guardian is expected to remain available and present at the Venue throughout the Event. The Guardian remains responsible for the Participant's supervision, welfare, and always conduct.
2.4.
The Organizer may, in its sole discretion, refuse admission to, suspend, or remove any Participant whose conduct, health condition, or behavior may disrupt the Event or present a risk to the Participant, other attendees, or Event personnel.

3. By registering a Participant for an Event, the Guardian acknowledges and accepts the provisions set out in this Section.

3.1.
The Guardian understands and acknowledges that participation in educational, recreational, and group activities involves inherent and unavoidable risks that cannot be eliminated, including but not limited to:
3.1.1.
Minor injuries such as slips, trips, falls, bumps, bruises, or scrapes;
3.1.2.
Exposure to allergens, environmental conditions, or materials present at the Venue;
3.1.3.
Exposure to communicable illnesses or health conditions that may be transmitted by attendees or third parties;
3.1.4.
Risks associated with transportation to and from the Venue;
3.1.5.
Emotional, social, or psychological impacts arising from participation in group, competitive, or collaborative activities; and
3.1.6.
Other risks that may arise despite the exercise of reasonable care.
3.1.7.
The Guardian accepts such risks on behalf of the Participant.
3.2.
Attendance and participation in the Event are entirely voluntary. The Guardian acknowledges that they have independently evaluated the suitability of the Event for the Participant and have elected to permit participation with full awareness of the associated risks.
3.3.
To the fullest extent permitted by applicable law, the Organizer, Facilitators, Host Organization, Venue operators, and their respective officers, employees, contractors, agents, and representatives shall not be responsible for injuries, losses, damages, costs, expenses, or claims arising from risks inherent in Event participation, the Participant's actions or omissions, the actions or omissions of other attendees, or circumstances beyond the reasonable control of such parties. Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded under applicable law.
3.4.
The Organizer does not supervise or control the conduct of all individuals present at the Venue and cannot guarantee the actions of Participants, Guardians, visitors, venue personnel, or other third parties. The Guardian acknowledges that the Organizer is not responsible for losses, damages, or injuries arising from the acts or omissions of such persons.
3.5.
Participants and Guardians are solely responsible for safeguarding their personal belongings. The Organizer does not assume responsibility for lost, misplaced, stolen, or damaged property brought to or left at the Venue.

4. Medical Information and Emergency Authorization

4.1.
The Guardian is responsible for providing complete and accurate information regarding any medical conditions, allergies, dietary restrictions, behavioral considerations, disabilities, special accommodations, or other circumstances that may affect the Participant's ability to safely participate in the Event. This includes, without limitation:
4.1.1.
Food allergies or sensitivities;
4.1.2.
Allergies to materials used during Event activities;
4.1.3.
Asthma, epilepsy, diabetes, or other medical conditions;
4.1.4.
Developmental, behavioral, or learning considerations requiring accommodation; and
4.1.5.
Any medication or treatment requirements.

The Organizer may rely upon the information provided by the Guardian and shall not be responsible for circumstances arising from incomplete, inaccurate, or omitted disclosures.

4.2.
Unless expressly agreed otherwise, Event personnel are not medical professionals and are not responsible for administering medication. Where medication may be required during the Event, the Guardian remains responsible for ensuring that appropriate arrangements are made.
4.3.
In the event of an illness, injury, or medical emergency involving the Participant, and where the Guardian cannot be contacted within a reasonable time, the Guardian authorizes the Organizer and Facilitators to seek appropriate emergency assistance, including:
4.3.1.
Contacting emergency medical services;
4.3.2.
Facilitating transportation to a medical facility; and
4.3.3.
Relying on qualified medical personnel to determine and administer treatment considered necessary under the circumstances.

All decisions regarding medical treatment shall remain within the discretion of the attending medical professionals. The Guardian accepts responsibility for any costs, fees, or expenses associated with such treatment or transportation.

4.4.
Where the Organizer reasonably believes that a Participant's participation may present a risk to the Participant, other attendees, or Event personnel, the Organizer may restrict, modify, or discontinue the Participant's involvement in specific activities or in the Event as a whole. Any such decision shall be made in the interest of health, safety, and operational considerations.

5. Event Materials and Product Safety

5.1.
Events may involve the use of art, craft, educational, decorative, or promotional materials ("Event Materials") for creating projects, gifts, or take-home items. Participants may be permitted to keep, gift, or leave behind items created during the Event.
5.2.
Unless expressly identified as edible, all Event Materials are intended solely for their designated purpose and must not be eaten, ingested, or otherwise misused.
5.3.
Certain Event Materials may contain small parts, adhesives, paints, inks, glitters, or other substances that may present choking, allergy, irritation, or other risks if improperly used. Participants must follow all safety instructions provided by Event staff. Guardians acknowledge that younger children may require additional supervision when using certain materials.
5.4.
The Guardian is responsible for disclosing any allergies, sensitivities, medical conditions, or special needs that may affect the Participant's safe use of Event Materials and for determining whether participation is appropriate for the Participant.
5.5.
The Organizer may remove or restrict access to any Event Material where it reasonably believes such action is necessary for health or safety. The Organizer shall not be responsible for any injury, illness, allergic reaction, choking incident, or other harm arising from the misuse, improper handling, sharing, gifting, or consumption of Event Materials contrary to provided instructions or warnings.

6. Children's Privacy

6.1.
To register a Participant, the Guardian may be required to provide certain personal information about themselves and the Participant. The Guardian represents that they have the authority to provide such information and consent to its use for Event administration and related purposes.
6.2.
The Organizer does not knowingly collect personal information directly from children except as reasonably necessary to facilitate participation in the Event. Any collection, use, storage, and disclosure of personal information will be governed by the Organizer's Privacy Policy and applicable law.
6.3.
Guardians may request access to, correction of, or deletion of a Participant's personal information, subject to applicable legal and operational requirements.
6.4.
Cuemath is committed to protecting the privacy of children under 13. We do not knowingly collect personal information directly from children under 13 without verifiable parental consent. All Participant data is collected through the Guardian during the registration process. The Guardian's completion of the registration form constitutes verifiable parental consent for the collection of the Participant's information.
6.5.
Cuemath shares data with the Facilitators — limited to information necessary for Event execution (e.g., Participant names, age groups, medical/allergy information); Host Organizations — limited to aggregate attendance data, unless the Guardian explicitly consents to sharing individual data; Service providers — third parties that assist with Event logistics (e.g., registration platforms like Luma, communication tools); Legal authorities — where required by law or to protect the safety of Participants.
6.6.
Personal data collected for Event purposes will be retained for a period of 24 months from the date of the Event, after which it will be anonymized or deleted, unless the Guardian has separately enrolled in Cuemath's educational services (in which case the general Privacy Policy governs retention).
6.7.
Further, by registering for and attending the Event, the Guardian grants Cuemath and its authorized partners a non-exclusive, royalty-free, perpetual, worldwide license to capture, use, reproduce, distribute, display, and create derivative works from photographs, video recordings, audio recordings, and any other media ("Media") featuring the Participant, taken during the Event.
6.8.
Media may be used for – Event recaps, highlights, and documentation; Marketing and promotional materials (website, social media, email, print);Internal training and quality assurance; Presentations to current and prospective partners, sponsors, and stakeholders; and Educational and editorial content.
6.9.
The Guardian acknowledges that no monetary compensation or royalty shall be owed to the Guardian or the Participant for the use of Media as described herein.
6.10.
Cuemath is under no obligation to use any Media captured at the Event.
6.11.
If the Guardian does not wish the Participant to be photographed or recorded, the Guardian must notify Cuemath in writing at least 48 hours prior to the Event by emailing events@cuemath.com. Cuemath will use commercially reasonable efforts to exclude the Participant from Media, but cannot guarantee complete exclusion in group photographs or wide-angle video recordings taken at public or semi-public events.
6.12.
The Guardian acknowledges that other attendees, Guardians, or members of the public may independently capture and share photographs or videos at the Event. Cuemath is not responsible for Media captured or shared by third parties.

7. Supervision & Safety

7.1.
During the Event, Facilitators may provide general supervision and instruction related to Event activities. The Event is not a childcare, daycare, babysitting, custodial, medical, or supervision service, and Facilitators are not responsible for providing continuous one-on-one supervision of Participants.
7.2.
The Guardian remains solely responsible for the Participant's safety, wellbeing, conduct, and supervision before arrival, after departure, and outside designated Event activities. The Guardian is responsible for:
7.2.1.
Ensuring the Participant's timely arrival and pick-up;
7.2.2.
Providing accurate emergency and contact information;
7.2.3.
Remaining reachable throughout the Event;
7.2.4.
Informing the Organizer of any medical, behavioral, developmental, or safety concerns relevant to the Participant's participation.
7.3.
If the Guardian is not present at the Venue, the Guardian must designate an authorized adult for pick-up. The Organizer may require identification before releasing a Participant and reserves the right to refuse release where there is reasonable uncertainty regarding authorization.
7.4.
While Cuemath seeks to maintain a safe environment and requires Facilitators to follow applicable safety protocols and codes of conduct, Cuemath cannot guarantee the actions of Participants, Guardians, venue personnel, third parties, or other attendees, nor can it guarantee that incidents, injuries, illnesses, or accidents will not occur.
7.5.
Nothing in these Terms creates any custodial, fiduciary, guardian, healthcare provider, or special relationship between Cuemath and any Participant.
7.6.
Participation in the Event does not imply or constitute a guarantee of safety, supervision, injury prevention, or risk elimination."

8. Third-Party Venues & Facilitators

8.1.
Events may be conducted at venues owned, managed, or operated by third parties. Such venues are independently responsible for their premises, operations, accessibility, security, maintenance, and legal compliance. Cuemath does not control and is not responsible for the condition, safety, suitability, accessibility, parking facilities, transportation arrangements, or regulatory compliance of any Venue.
8.2.
Facilitators may include independent contractors, volunteers, affiliates, host representatives, or other third parties. Although Cuemath may establish standards, guidelines, and safety protocols for Event operations, such persons may not be employees, agents, or representatives of Cuemath. To the fullest extent permitted by law, Cuemath shall not be responsible for the independent acts, omissions, statements, or conduct of such persons.
8.3.
Certain Events may be organized in collaboration with schools, community organizations, sponsors, venue providers, or other third parties ("Host Organizations"). Additional terms, policies, rules, and requirements imposed by such Host Organizations may apply. Cuemath is not responsible for the acts, omissions, products, services, facilities, policies, or decisions of any Host Organization.

9. Intellectual Property & Event Materials

9.1.
All Event Materials and related intellectual property remain the exclusive property of Cue Learn Private Limited.
9.2.
No license is granted except for personal, non-commercial use.
9.3.
Unauthorized reproduction, distribution, or commercial exploitation is strictly prohibited.

10. Indemnification

The Guardian agrees to indemnify, defend, and hold harmless Cuemath and its affiliates, officers, employees, contractors, agents, Facilitators, and Venue partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: breach of these Terms; inaccurate or incomplete information provided by the Guardian; Participant conduct or actions; failure to disclose relevant medical or safety information; or damage or injury caused by the Participant.

11. Limitation of Liability

11.1.
To the maximum extent permitted by law, Cuemath's total aggregate liability arising out of or relating to any Event shall not exceed the registration fee paid for that Event.
11.2.
Cuemath shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of data, income, goodwill, emotional distress, or substitute services.
11.3.
Nothing in these Terms excludes liability for death or personal injury caused by gross negligence, fraud, or willful misconduct, or any liability that cannot be excluded under applicable law.

12. Event Cancellation & Modification

12.1.
Cuemath reserves the right to cancel, postpone, modify, or change the Venue of any Event at any time, for any reason, including but not limited to: Adverse weather conditions; Venue unavailability or safety concerns; Insufficient registrations; Public health emergencies; and Force majeure events.
12.2.
In the event of cancellation, Cuemath will notify registered Guardians via the email and/or phone number provided during registration. Cuemath will use reasonable efforts to provide at least 24 hours' notice of cancellation, except in cases of emergency.
12.3.
Cuemath Events are offered free of charge. As no admission fee is collected, no refunds shall be applicable. If a registration fee was collected for a specific Event, the refund policy stated at the time of registration shall apply.
12.4.
Cuemath shall not be liable for any costs, expenses, or damages incurred by the Guardian or Participant as a result of Event cancellation, modification, or postponement (including but not limited to travel, accommodation, or childcare costs).

13. Communication Consent

13.1.
By registering for an Event, the Guardian consents to receive communications from Cuemath related to: (a) Event logistics, updates, reminders, and follow-ups; (b) post-event surveys and feedback requests; (c) Information about upcoming Cuemath Events in the Guardian's area; and (d) Information about Cuemath's educational products and services, including free trial offers.
13.2.
Communications may be sent via email, SMS/text message, WhatsApp, or phone call to the contact information provided during registration.
13.3.
The Guardian may opt out of non-essential communications (categories c and d above) at any time by: Clicking the "unsubscribe" link in any email; Replying "STOP" to any SMS/WhatsApp message; and Emailing events@cuemath.com with the subject line "Opt Out." Opting out of non-essential communications does not affect Event-related communications (categories a and b), which are necessary for Event administration.

14. General Provisions

14.1.
These Event Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For Events held outside the United States, local consumer protection laws may apply to the extent they cannot be waived.
14.2.
Any dispute arising out of or relating to these Event Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration to be held in Delaware. The Guardian waives any right to participate in a class action or class arbitration.
14.3.
If any provision of these Event Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.4.
These Event Terms, together with the Cuemath Terms of Use and Privacy Policy, constitute the entire agreement between the Guardian and Cuemath with respect to Event participation.
14.5.
Cuemath reserves the right to update these Event Terms at any time. The version in effect at the time of Event registration shall apply to that Event. Material changes will be communicated via the registration platform or email.

CueLearn Inc.

The Guardian acknowledges that the Organizer's role is limited to facilitating educational and recreational activities during the Event and does not include providing childcare, medical supervision, healthcare services, counseling, transportation, or continuous one-on-one supervision unless expressly stated otherwise in writing.
